S. Shiva has been extensively involved in over 30 corporate restructuring
transactions, including amalgamations, demergers, composite
arrangements, slump sales, and reductions of share capital, involving
approximately 100 companies across diverse industries. His work spans
both advisory and execution roles, including the drafting and negotiation
of critical corporate documents such as Shareholders' Agreements,
schemes of arrangement, and transaction-specific agreements tailored to
the commercial and regulatory needs of the parties involved. He has
represented clients before various National Company Law Tribunals
(NCLTs), the National Company Law Appellate Tribunal (NCLAT), and other
regulatory authorities. He has prepared a wide range of legal documents
including applications, petitions, replies, rejoinders, appeals, and
Information Memoranda under the Companies Act, 2013 and the
Insolvency and Bankruptcy Code, 2016.
He has led the execution of M&A transactions, coordinated due diligence
exercisesincluding analysis of financials, litigation exposure, and
regulatory complianceand managed post-transaction obligations such as
ROC filings, capital restructuring, and share allotments. He regularly
advises clients on structuring shareholder rights, exit mechanisms,
governance controls, and dispute resolution clauses within Shareholders
Agreements.Under the IBC, 2016, he has assisted stakeholders such as
corporate debtors, resolution applicants, and insolvency professionals in
matters involving CIRP proceedings, voluntary liquidations, and the
implementation of resolution plans. He actively contributes to legal
thought leadership through transaction alerts, articles, and is currently
authoring a comprehensive “Handbook on Mergers & Amalgamations,
”
covering procedural requirements, tax and stamp duty implications, and
compliance under various laws.
